Terms of Service


1. Introduction

These Terms of Service (“Terms”) set out the conditions under which Southern Oasis Trading Pty Ltd (“Southern Oasis”, “we”, “our”, “us”) supplies goods and related services to business customers, including Original Equipment Manufacturers (OEMs), distributors, and wholesale clients.

By placing an order or engaging with us, you agree to be bound by these Terms, unless a separate written agreement overrides them.


2. Scope of Services

  • We supply automotive accessories and related products to business customers across OEM, dealer, and wholesale channels.

  • We may also provide ancillary services such as demand forecasting support, packaging consolidation, or customisation of goods where agreed in advance.

  • Retail customers purchasing directly through our e-commerce channels are subject to respective retail terms (see Section 9).


3. Orders & Acceptance

  • All purchase orders must be submitted in writing. An order is binding once acknowledged by Southern Oasis in writing.

  • Quotations are valid for the period stated or, if not stated, 30 days.

  • We reserve the right to decline orders where production capacity, credit history, or other factors make supply impractical.


4. Pricing & Payment

  • Pricing is as specified in quotations or confirmed agreements. Prices may be adjusted if material costs, labour costs, duties, or exchange rates change significantly, subject to notice.

  • Payment terms must be agreed in advance (e.g. deposit + balance, or 30/60-day accounts).

  • Title in goods remains with Southern Oasis until full payment is received. Risk transfers as set out in Section 5.


5. Delivery & Risk

  • Lead times will be confirmed at the time of order acceptance. Forecasts should be provided where ongoing supply programs apply.

  • Delivery terms (FOB, CIF, DDP, ex-works, etc.) will be agreed per order or supply arrangement.

  • Risk in the goods passes to the customer once delivered in accordance with the agreed delivery terms.


6. Quality & Warranty

  • Southern Oasis warrants that goods will be free from manufacturing defects under normal use and supplied in line with agreed specifications.

  • Warranty terms, where applicable, will be defined per program or purchase agreement.

  • Claims must be made in writing within 7 days of receipt of goods. Defective goods may be repaired, replaced, or credited at Southern Oasis’s discretion.


7. Returns

  • Returns will only be accepted for defective goods or supply errors directly attributable to Southern Oasis.

  • Returned goods must be in original condition unless otherwise agreed.

  • Return authorisation must be obtained in writing before goods are sent back.


8. Limitation of Liability

  • To the maximum extent permitted by law, Southern Oasis will not be liable for indirect or consequential losses including loss of profit, revenue, or opportunity.

  • Liability for defective supply is strictly limited to repair, replacement, or refund of the goods supplied.


9. Retail Sales

  • Our direct-to-consumer channels operate under separate retail terms published on the retail websites.

  • Retail customers are protected under Australian Consumer Law, which provides guarantees relating to defective products.

  • Business customers may not return goods purchased through retail channels under business arrangements unless specifically authorised.


10. Confidentiality

  • Any information shared between Southern Oasis and the customer that is marked or reasonably regarded as confidential must be kept confidential and used only for the purposes of the supply relationship.


11. Governing Law

These Terms are governed by the laws of Victoria, Australia. Any disputes will be dealt with under the exclusive jurisdiction of the courts of Victoria.


12. Amendments

Southern Oasis may amend these Terms from time to time by written notice or by publication on our business website. Updated Terms will apply to new orders placed after the amendment date.
